How Long Does It Take to Get an LLC?

A Limited Liability Company (LLC) is a type of business structure that creates a legal separation between owners and the entity. This is a particularly popular structure—with similar variations across the globe—for various reasons. Primarily, it offers limited liability protection for its owners (also known as members), which means the responsibility for most debts and lawsuits falls on the business entity itself, without impacting owners’ personal assets. There are also relatively straightforward regulatory requirements, which ensure a certain amount of operational simplicity.

Given how beneficial a structure LLC is, it’s important to ensure that the correct processes are followed when setting up. When considering how long it takes to get an LLC, entrepreneurs should bear in mind that the process shouldn’t be rushed and that timelines can depend on a number of factors. Some elements that affect length of registration include the jurisdiction the LLC is registered in, the accuracy of the business formation documents submitted, government backlogs, and legal reviews. Even the method of application—online, mail, or expedited service—makes a difference.

We’ve put together this article to take a closer look at the typical LLC processing times, alongside the elements that may affect these and what business owners can do to mitigate delays. Importantly, we’ve taken a global perspective, rather than focusing on just the U.S., to ensure entrepreneurs with international ambitions can make informed choices.

Factors That Affect LLC Processing Times

Much like other business processes, like when exploring how to register a trademark, LLC processing timescales can vary depending on various elements or a combination of multiple factors. These include:

  • State or country of registration – Different jurisdictions will have their own unique administrative systems. As a result, the speed of processing can vary accordingly. Some countries in business hubs have implemented streamlined digital processes, while others rely heavily on analog procedures.
  • Filing method (online vs. paper) – In countries that enable them, online LLC submissions tend to be processed more quickly than those sent by traditional mail. There’s also the option for in-person filings in some regions—and these can even be mandatory—which can also offer faster results, depending on local practices.
  • Expedited processing options – Jurisdictions that offer expedited LLC processing options can shorten approval times. In some cases, this is as little as one business day. However, there are usually additional fees.
  • Filing accuracy and completeness – Accuracy and completeness are essential for efficient registration. Errors, omissions, or inconsistencies can cause delays, as they may trigger requests for corrections or further information.
  • Business structure complexity – Complexities in the LLC business structure, such as the number of members or unique operational features, can extend the review period. Regulatory checks may also delay matters.

Average Timeframes by Filing Method

Different filing methods can affect how long the registration process takes. While they are likely to vary based on the region or the governmental agencies involved, some typical periods entrepreneurs can expect are:

  • Online filings – These are generally the fastest basic method. Average processing times, ranging from one to ten business days, assuming all documents are accurate and systems are running efficiently.
  • Mail filings – LLC mail filings typically involve the longest timelines, often requiring between one and four weeks from the date of receipt. This is due to postal delivery times and manual data entry procedures.
  • In-person submissions – LLC processing times can vary significantly, depending on the jurisdiction. Some agencies offer same-day review services, while others may still require several days to process.
  • Expedited filings – Where this is available, it can accelerate the process to as little as one business day. Availability depends entirely on the jurisdiction and eligibility criteria, though.

Country-Specific LLC Processing Times

When operating on a global scale, it’s helpful to get an impression of how jurisdictional elements affect LLC processing timelines. So, here are some examples to illustrate the variances.

In the U.S., the timeline to form an LLC depends on the state. For instance, Delaware’s a popular choice for its business-friendly laws, and often processes online LLC applications within one to three business days. California, on the other hand, can take several weeks due to higher application volumes and specific local requirements.

In the U.K., the equivalent of an LLC—a private limited company (Ltd)—can typically be registered online on the same day, on the condition that all documentation is complete and correct. Paper applications can take up to ten business days, though.

The UAE tends to be more complex. Times depend on whether the LLC is being established in a free zone or under mainland regulations. As a result, processing can take anywhere from a few days to several weeks.

Singapore has a reputation for efficient company registration. Here, LLC equivalents can usually be formed within one to three business days. This is dependent on there being no errors or legal complications in the application.

It is also important to remember that the term “LLC” is not used everywhere. There are similar entities in many jurisdictions that go by different terms. Alongside the aforementioned U.K.-based private limited company, you may come across GmbH in Germany or SARL in France, among others. Nevertheless, the formation principles and processing considerations are generally comparable.

What Happens After LLC Submission

Submission of documents doesn’t mean LLC registration is complete. Applicants will typically receive an acknowledgment or confirmation receipt from the relevant authority, and then processing will begin. This initial confirmation may include a filing reference number or clarification of any instructions for the next steps.

The LLC application will then undergo an internal review. During this time, the regulatory agency assesses all the documents and confirms whether all the legal requirements have been met. Some typical aspects of this include verifying the availability of the business name, confirming the accuracy of ownership and LLC governance information, and checking for compliance with relevant local business laws.

If the application is approved, the applicant usually receives an official certificate of LLC formation, incorporation, or registration. The specific document depends on the jurisdiction’s chosen terminology. This certificate serves as proof that the business has been legally established in accordance with formation regulations.

In many countries, registration with tax authorities occurs automatically as part of the LLC company formation process. In others, owners will need to complete it separately following approval.

At any stage throughout this process, delays are likely to occur if documents are incomplete or signatures are missing. Additionally, if the application raises concerns that require further legal scrutiny, there may be further audits or requests.

How to Expedite the LLC Formation Process

While cutting corners is never advisable, there are some elements that can expedite formation. These include:

  • File online – This is typically the most efficient method, as it avoids postal delays and often includes automated checks for errors or omissions.
  • Use expedited services – If the jurisdiction allows for them—they’re not available everywhere, though—using expedited is advisable. They can significantly shorten the waiting period.
  • Mitigate errors – Take the time to ensure that all LLC registration documents are accurate, complete, and compliant with local regulations. Be vigilant for common mistakes such as typographical errors in the business name or missing information about members, as these can result in rejections or requests for clarification.
  • Work with professionals – Collaborating with a business formation consultant or other company formation experts who have experience in the chosen jurisdiction can help in preempting potential issues and navigating local nuances.
